Chapter I General Provisions
Article 1 The name of this group is Huzhou Elevator Industry Association, the English translation of HUZHOU
ELEVATOR ASSOCIATION. The abbreviation is HEA.
Article II of the nature of the group: The group from the city in the elevator machine and parts system
Construction, installation, maintenance and testing of units,
scientific research institutions, vocational training, advisory
services, and other units formed voluntarily; this group is a non-profit
social organizations.
Article III The purpose of this group is to strengthen industry
management and industry self-discipline, maintaining the industry as a
whole
Interests
and the legitimate rights and interests of member units to promote the
city's elevator industry, technological progress and professional
collaboration to improve the quality of the elevator products to enhance
the regional elevator brand awareness and reputation, and actively play
a bridge between enterprises and the role of government to promote Orderly competition among member units, and expand cooperation and coordinated development of the industry. The group strictly abide by the Constitution, laws, regulations and national policies, abide by social morality.
Article IV of the group to accept the competent unit of Huzhou City,
Quality and Technical Supervision and community registration
The management of Huzhou City Civil Affairs Bureau of the business guidance and supervision and management.
Article 5 The permanent office of this group is the secretariat, and the office address is Nanxun, Huzhou
District 666 Chaoyang Road, Nanxun Technology Park.
Chapter II Business Scope
Article VI of the business scope of the group are:

Chapter III Membership
Article 7 Members of the Group shall be members.
Article VIII of the application to join the members of the group must meet the following conditions:
(1) to uphold the constitution of the group;
(B) have the will to join the group;
(3) The members who participate in the group must legally register and live in the local area;
(4) Units engaged in the manufacture, installation and maintenance of
elevators and parts in this Municipality, as well as testing and testing
institutions, scientific research institutions, vocational training and
consulting services;
Article 9 The procedure for membership is:
(1) submitting an application for membership;
(Ii) Adoption by the Secretariat;

Article 10 Members enjoy the following rights:
The right to vote, to be elected and to vote;
(A) to participate in the activities of the group;
(2) to obtain the priority of the service of the group;
(3) the right to criticize, suggest and supervise the work of the group;
(D) to join the voluntary, withdrawal freedom.
Article 11 The member shall perform the following obligations:
(1) to implement the resolutions of this body;
(2) safeguarding the lawful rights and interests of the group;
(C) to complete the task assigned by the group;
(4) Paying dues as required;
(5) to provide information and materials to the Group;
(6) to participate in various activities organized by the group.
Article XII members shall withdraw in writing notice to the group, and return the membership card. If a member does not pay membership dues for a year or does not
participate in the activities of the group, as a voluntary withdrawal.
Article XIII member of a serious violation of the Constitution of the act, the Council voted to be removed.
CHAPTER IV ORGANIZATIONAL INSTITUTIONS AND ORGANIZATIONS
Article XIV of the highest authority of the body is the General Assembly, General Assembly, the terms of reference are:
(1) to formulate and amend the articles of association;
(2) to elect and remove directors;
(3) to examine the work report and financial report of the board of directors;
(4) to decide on the termination;
(5) to decide on other major issues.
Article XV of the members of the General Assembly to be more than 2/3
of the members to attend the meeting can only be convened, the
resolution must be more than half of the members to vote on behalf of
the vote to take effect.
Article 16 The General Meeting of Members shall be held for five years. Due to special circumstances need to be advanced or postponed general,
shall be adopted by the Council voted, reported to the business unit in
charge of review and approval by the Administration of Registration,
but the renewal of not more than one year.
Article 17 The Council shall be the executive body of the General
Meeting of Members and shall lead the Group to carry out its daily work
during the intersessional period and shall be accountable to the General
Meeting of Members.
Article 18 The terms of reference of the Council are:
(1) to implement the resolutions of the General Assembly;
(2) Election and dismissal of the chairman, vice-chairman and secretary-general;
(3) Preparing for the convening of the General Assembly;
(4) to report to the General Assembly on the work and financial situation;
(5) Deciding on the removal of members;
(6) to decide on the establishment of offices, branches, representative offices and entities;
(7) to decide on the appointment of the principal responsible persons of the institutions;
(8) to decide on the salaries and benefits of the Secretary-General;
(9) to lead the work of the organizations;
(10) Formulating an internal management system;
(11) to decide on other important matters.
Article XII of the Council to be more than 2/3 of the directors to
attend the meeting, the resolution must be more than 2/3 vote to come
into effect.
Article 20 The Council shall meet at least once a year and, if the
circumstances are special, may also be convened by means of
communication.
Article 21 The chairman, vice-chairman, director and secretary-general of the group must meet the following requirements:
(1) to uphold the party's line, principles, policies and political quality;
(2) having a greater influence in the business scope of the Group;
(3) Being in good health and being able to persist in normal work;
(4) those who have not been deprived of their political rights;
(5) having full capacity for civil conduct.
Article twenty-second of the group chairman, vice chairman, director, secretary-general may be re-elected.
Article 23 The chairman of the group is the legal representative of the group.
Article 25 The chairman of the group shall exercise the following functions and powers;
(1) to convene and preside over the Council;
(2) to nominate candidates for the Secretary - General and submit them to the Council for approval;
(3) to examine the implementation of the General Assembly and Council resolutions;
(4) To sign the relevant important documents on behalf of the Group;
(5) to represent the group to participate in important activities.
Article 26 The Secretary-General of the Group shall exercise the following functions and powers:
(1) to preside over the daily work of the offices and organize the implementation of the annual work plan;
Coordinate the branches, representative offices, entities to work;
(2) nominate the Deputy Secretary-General and the main persons in
charge of the offices, branches, representative offices and entities to
be submitted to the Council for consideration and adoption;
(3) to decide on the employment of special and part-time staff of the offices, representative offices and entities;
(4) proposing the salaries, benefits and subsidies of the offices,
representative offices, entity institutions and part-time staff, and
report to the chairman of the board for approval;
(5) to deal with other daily affairs.
Chapter V Procedures for Modification of Bylaws
Article 27 Amendments to the articles of association of the Group
shall be submitted to the General Assembly for approval after being
voted by the Council.
Article 28 The articles of association revised by the Group shall be
examined and approved by the competent business unit within 15 days
after the adoption of the General Meeting of Members, and shall be
reported to the Societies Registration and Administration Authority for
approval.
Chapter 6 Termination Procedures and Disposal of Property after Termination
Article twenty-ninth of the group to complete the purpose of self-dissolution or due to separation, merger and so on
If the reasons need to be canceled, the Board shall propose to terminate the motion.
Article 30 Termination motions of the Group shall be subject to
approval by the General Meeting of Members and shall be submitted to the
Competent Authority for examination and approval.
Article
thirty-first before the termination of this group shall be in charge of
business units and relevant agencies under the guidance of the
establishment of liquidation organizations, clean up claims and debts,
deal with the aftermath. During the liquidation period, activities other than liquidation are not carried out.
Article thirty-second of the group by the registration management
authority for cancellation of registration after the termination.
Article 33 The residual property after the termination of the Group
shall be used for the development of the business related to the purpose
of the Group under the supervision of the competent business unit and
the registration management organ of the society in accordance with the
relevant provisions of the State.
Chapter VII Supplementary Provisions
Article thirty-fourth The constitution by the July 2, 2016 third general meeting of the voting.
Article 35 The power of interpretation of this Constitution is the Council of the Group.
Article
36 These articles of association shall come into force as of the date
of approval by the administrative organ for registration of societies.
